Corporate & Commercial

E: Malcolm.Zoppi@kingsley-wood.com

Malcolm Zoppi is a Manchester-based corporate and M&A solicitor and Partner at Kingsley Wood. He acts for buyers and sellers of UK small and medium-sized businesses, mostly on share purchases, with deal values from £100k to £10m.

His work covers heads of terms, due diligence, share and asset purchase agreements, disclosure, shareholder agreements and the corporate work around a deal, such as share transfers and group restructures. He advises on deals in England and Wales and in Scotland. Key sectors include CQC-regulated care homes and manufacturing.

Most clients are buying their first business, or are owner-managers buying a business to grow their own. Fees are fixed wherever possible and agreed up front, and clients have one point of contact throughout the deal.

Malcolm has the largest YouTube channel in the UK dedicated to M&A law, but also covers share structures, corporate restructurings, and legal due diligence.
