Philippa qualified as a solicitor in 2005 and has been specialising in UK corporate taxation for over 20 years. 


Philippa trained and practiced in the City before relocating to a regional law firm to establish a corporate tax team specialising in M&A transactional support, employee share scheme advice, corporate restructuring and investment tax relief advice. 


Philippa takes a particularly pragmatic approach to assisting clients with transaction negotiations and providing planning advice due to having an established background as a non-executive director for multiple organisations and owning/operating her own sales based company.

Although Philippa’s legal experience lies within a very technical area of the law, she has a well-rounded and pragmatic approach to providing advice and assistance borne out of frequently being on the “other side” as a client and having been a non-executive director for a range of organisations outside of the legal sector.


Philippa is particularly adept at explaining complex (and often dull) corporate tax matters in a way that is at least marginally easy to understand (although still remaining dull).   


Philippa is also a published academic writer and historically has written tax practice guides for Practical Law Company and Lexis Nexis.

Recent Matters

my work

  • Advising on the demerger of a property investment and trading business prior to the sale of the trading business to an Employee Ownership Trust. 
  • Providing tax transaction support and advice to the sellers of an established chain of residential homes for the elderly (including pre-transaction restructuring advice to facilitate the sale). 
  • Drafting and negotiating tax indemnities and warranties on behalf of a buyer acquiring a software as a a service company valued at £30m. 
  • Assisting the sellers of a UK holding company with overseas subsidiaries with M&A negotiations on tax indemnities and warranties for a £20m sale supported by W&I insurance. 
  • Advising a software as a service company on suitability to qualify for Enterprise Investment Scheme tax reliefs.

Interest

about me

Alongside operating an establish tax law practice, Philippa owns and operates (with her husband) an award winning UK vineyard and winery.


Acting in this capacity she has appeared on BBC1 News, Channel 5’s “Jewel of the South” and BBC1’s “The Apprentice”.
